These Terms govern the use of pandasuite.com and any related Services provided by PandaSuite. By accessing or using the Services, you agree to be bound by these Terms.

Introduction

Please read these Terms carefully. Capitalized words have the meanings given in the Definitions section. These Terms do not create an employment, agency, or partnership relationship. The Service is intended for professional use only; see the Eligibility section.

About PandaSuite

The Service is provided by PandaSuite, 40 rue Alexandre Dumas, 75011 Paris, France. Contact: [email protected] . Company and registry details are in the Legal Notice. “pandasuite.com” includes this website (and subdomains), any mobile applications, APIs, the Service itself, and any related documentation, examples, or software.

Eligibility

To use pandasuite.com and its Services, Users must meet the following criteria:

Professional Use: the Service is offered to professionals only. By using it, Users declare that they act in a professional capacity, for the purposes of their trade, business, craft or profession, and not as consumers.
Age Requirements: Users must be at least 18 years old or the age of majority in their jurisdiction.
Legal Capacity: Users must have the legal capacity to enter into binding contracts. Users acting for an organization must be authorized to bind it.
Geographic Restrictions: Users must not be located in countries subject to U.S. or EU trade embargoes, or designated as "terrorist supporting" countries. Users must not appear on any U.S. or EU restricted parties lists.
Compliance: Users must comply with all applicable laws and regulations in their jurisdiction and use the Service only for lawful purposes.

PandaSuite may refuse to open an account, or close an account, that does not meet these criteria.

Accounts

Account Registration

To access the full functionality of PandaSuite, Users must register and create an account. During registration, Users must provide accurate, current, and complete information as requested. Users are responsible for maintaining the accuracy of this information and must promptly update any changes.

Account Security

Users must create strong, unique passwords and maintain the confidentiality of their login credentials. Users are fully responsible for all activities occurring under their account, whether authorized or not. Users must immediately notify PandaSuite at [email protected] if they suspect any unauthorized access, breach, or security incident affecting their account.

Account Restrictions

No Automated Accounts: Account creation by bots, scripts, or other automated methods is strictly prohibited.
One Account Per User: Unless explicitly authorized by PandaSuite, each User may maintain only one account.
Non-Transferable: Accounts are personal to the User and may not be sold, transferred, or shared with others without PandaSuite's written consent.
Team Accounts: For business or team subscriptions, the account administrator is responsible for managing the members of the team and ensuring their compliance with these Terms.

Account Termination

User-Initiated: Users may close their account at any time through their account settings or by contacting [email protected]. Account closure becomes effective at the end of any current paid subscription period, unless the User switches provider as set out below. Users remain responsible for any outstanding charges.

PandaSuite-Initiated: PandaSuite reserves the right to suspend, disable, or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk. In case of severe violations, termination may be immediate and without prior notice. Account termination does not entitle Users to refunds or compensation and does not relieve payment obligations for services already provided.

Outside the severe cases above, PandaSuite terminates an account for a breach of these Terms only after a notice sent under the Notices section has remained without effect for fifteen (15) days, or where a law or a restrictive measure requires immediate action. Without prejudice to the above, PandaSuite may suspend access to the Service and to the applications published from the account for any sum that remains unpaid fifteen (15) days after such a notice, until full payment; the suspension neither extends the term nor gives rise to any credit. When PandaSuite suspends or terminates an account, it informs the User of the reasons and of the way to contest the decision.

Upon account termination, User data will be retained for 30 days to allow for account reactivation, then deleted. Copies held in backups expire with the backup cycle, and data may be retained longer only if required for legal, tax, or dispute resolution purposes. Users are responsible for backing up any content they wish to retain before closing their account.

Retrieving your content and switching provider: Users may export their Project Content at any time with the export functions available on their plan. Users may terminate the Agreement to switch to another provider or to their own infrastructure; the notice for doing so never exceeds two (2) months. The switch then takes place during a transitional period of thirty (30) days, which the User may extend once, for the period it considers appropriate; the Service continues during it, remains payable at the price in force, and PandaSuite assists Users, on reasonable request, in retrieving their content; the switch itself and the retrieval are free of charge. The Agreement ends when the switch is complete; the fees of the term in progress remain due. During the thirty (30) days that follow the end of the Agreement, for any reason, the account can be reactivated and its Project Content retrieved: PandaSuite does not erase it during that period and charges nothing for the retrieval. What can be retrieved is the Project Content of the account, in the form of the applications built from it in the formats the Service documents, and, on request, the data of the account.

Content & IP

Unless otherwise indicated, content available on pandasuite.com belongs to PandaSuite or its licensors. Users must not copy, distribute, modify, translate, sell, sublicense, or create derivative works beyond what is necessary for normal use of the Service. Where expressly allowed, Users may download or share content for personal, non‑commercial purposes with proper attributions. Statutory limitations or exceptions to copyright remain intact.

User Content

Users retain ownership of their content. By submitting content, Users warrant that they hold the rights needed to do so and that no third‑party right or legal provision is infringed. Users grant PandaSuite a non‑exclusive, worldwide, royalty‑free license to host, store, process and display the content, and to publish and distribute Project Content as Users direct, through PandaSuite's hosting, storage and content‑delivery providers, solely to provide, operate and maintain the Service, and to make necessary technical adjustments. The license lasts for the term of the Agreement and, for copies held in backups, until those backups expire. PandaSuite accesses Project Content only to provide the Service, to support the User, or where the law requires it. Users are solely responsible for their content; PandaSuite does not monitor User Content before it is published. PandaSuite may remove or block content and/or access if it infringes these Terms, third‑party rights, privacy, or applicable law, or poses risk; such removal or blocking gives no right to compensation or refund.

Your applications and the PandaSuite Runtime: Users own the applications, content and interactive experiences they create with the Service — their design, content, data and structure (the "Project Content") — and all intellectual property rights in them; PandaSuite claims no ownership of Project Content. Applications built with the Service embed the PandaSuite Runtime: the engine, players, viewers, components, templates and other pre-existing materials that make an application run. The Runtime, its updates and its documentation remain the property of PandaSuite and its licensors and are licensed, never sold. Users may distribute, sell, monetize and commercialize their applications, Runtime included, under any business model, subject to third-party platform policies (such as App Store or Google Play guidelines); they may not extract, modify, reproduce or redistribute the Runtime separately from their application, remove its proprietary notices, or use it to build a competing product or service. Users are solely responsible for ensuring their applications comply with applicable laws and third-party platform requirements.

End users of your applications: where an application published with the Service collects data from its end users, the User informs them, in its own privacy notice, and obtains the consents the law requires.

Illegal Content & Copyright

PandaSuite hosts content that Users publish and does not review it before publication. Anyone who believes that content hosted on or made available through the Service is illegal — including content that infringes a copyright or another intellectual property right — can report it to PandaSuite. Reports are handled in line with Regulation (EU) 2022/2065 (Digital Services Act) and French law.

How to report content

Send your report to [email protected] (or by post to PandaSuite, 40 rue Alexandre Dumas, 75011 Paris, France) with:

why you consider the content illegal — for a copyright claim, the work concerned and the right you hold or represent;
where the content is (its URL, or any information that lets us find it);
your name and email address and, for a copyright claim, those of the rights holder you act for;
a statement that you believe in good faith that the information in your report is accurate and complete.

Copyright notices under the U.S. Digital Millennium Copyright Act may be sent through the same channel with the elements that 17 U.S.C. §512(c)(3) requires.

What PandaSuite does

PandaSuite acknowledges receipt without undue delay, reviews the report diligently and objectively, and may remove or block the content or suspend the account concerned. It informs the person who reported of its decision and of the possibilities for redress, including before a court, and the User whose content is affected of the reasons for it, unless the law prevents it. A User who considers a removal unjustified can contest it by writing to [email protected] with an explanation and the location of the content; PandaSuite reviews the request and may restore the content. Manifestly unfounded or repeated abusive reports may be left unprocessed.

[email protected] is PandaSuite's single point of contact for the recipients of the Service and for the authorities of the Member States, the European Commission and the European Board for Digital Services, under Articles 11 and 12 of Regulation (EU) 2022/2065. PandaSuite communicates in French and in English and does not rely solely on automated tools.

Repeat Infringers

PandaSuite reserves the right to terminate the accounts of Users who are determined to be repeat infringers. A User may be considered a repeat infringer where, on at least three occasions, PandaSuite has found after review that content published from their account was illegal or infringed a third party's rights.

AI features

This section applies only if and when you use a feature of the Service that relies on artificial intelligence (an "AI feature"). AI features may be optional, limited to certain plans or accounts, and made available progressively; accepting these Terms does not by itself enable any AI feature. Using an AI feature is how you accept this section.

Inputs and outputs: the content you submit to an AI feature ("inputs") and the content it produces ("outputs") are User Content. To the extent permitted by law, you own the outputs you generate and may use them for any lawful purpose, subject to these Terms. Similar inputs may produce similar outputs for other Users, so no exclusive right in an output is granted.

Third-party providers: AI features may rely on third-party AI providers, which receive the inputs needed to produce the outputs. Where inputs contain personal data, those providers act as PandaSuite's sub-processors, bound by obligations equivalent to those of the Data Processing section. PandaSuite does not use your inputs or outputs to train artificial-intelligence models. Where an application you publish shows AI-generated content to its users, you inform them where the law requires it.

Accuracy: outputs are generated automatically and may be inaccurate, incomplete, biased or inappropriate. You review outputs before relying on them, publishing them or distributing them, and remain solely responsible for how you use them. PandaSuite gives no warranty on outputs.

Acceptable use: you must not use AI features to generate content that is illegal, infringes third-party rights or is deceptive; submit personal or confidential data you are not entitled to share; or attempt to extract the underlying models, circumvent usage limits or interfere with the feature.

Limits and availability: PandaSuite may set usage limits and may change, suspend or withdraw an AI feature at any time.

Privacy & Data

PandaSuite is committed to protecting User privacy and personal data. Our data practices are detailed in our Privacy Policy, which forms an integral part of these Terms. Users acknowledge that personal data is processed as described in the Privacy Policy.

Personal data: PandaSuite processes personal data in accordance with GDPR and other applicable data protection laws. Users have rights regarding their personal data, including access, rectification, erasure, and portability, as detailed in our Privacy Policy. Where PandaSuite processes personal data on a User's behalf, the Data Processing section below applies.

Cookies: The Service uses cookies and similar technologies as described in our Cookie Policy. Users accept or decline non-essential cookies in the banner shown on the website, can change that choice at any time through the “Cookie preferences” link in the footer, and can also use their browser settings.

Data Processing

This section applies where PandaSuite processes, on a User's behalf, personal data contained in Project Content or collected from the end users of an application published with the Service. It forms the contract required by Article 28(3) of the GDPR.

Roles: the User is the controller of that data and PandaSuite its processor.
Subject-matter, duration, nature and purpose: PandaSuite hosts, stores, processes, displays and delivers the data solely to provide the Service, for the term of the Agreement and the retrieval period that follows it.
Data and data subjects: the types of personal data and the categories of data subjects are those the User chooses to include in its projects or to collect through its applications. The User does not include data covered by Articles 9 or 10 of the GDPR without PandaSuite's prior written agreement.
Instructions: PandaSuite processes the data only on the User's documented instructions, which these Terms and the use of the Service's features constitute, including for transfers outside the European Economic Area, unless the law of the European Union or of a Member State requires otherwise; in that case PandaSuite informs the User beforehand, unless that law prohibits it. PandaSuite informs the User without delay if, in its opinion, an instruction infringes data protection law.
Confidentiality: the persons PandaSuite authorises to process the data are bound by an obligation of confidentiality.
Security: PandaSuite implements the technical and organisational measures required by Article 32 of the GDPR, described in the Privacy Policy.
Sub-processors: the User gives a general authorisation for the providers listed in the Privacy Policy. PandaSuite informs the User, under the Notices section, of any intended addition or replacement at least fifteen (15) days before it takes effect; the User may object within that period on reasonable data-protection grounds and, if the objection cannot be resolved, terminate the affected Services without charge for the unused period. PandaSuite imposes on each sub-processor obligations equivalent to those of this section and remains liable to the User for their performance.
Assistance: taking into account the nature of the processing and the information available to it, PandaSuite assists the User in answering requests from data subjects and in complying with Articles 32 to 36 of the GDPR.
Personal data breach: PandaSuite notifies the User without undue delay after becoming aware of a personal data breach affecting the User's data, with the information available to it.
End of the processing: at the end of the Agreement, PandaSuite deletes the data or returns it, at the User's choice; the retrieval described in the Account Termination section is the return. Deletion follows the retention periods of the Privacy Policy, unless the law requires PandaSuite to keep the data longer.
Audits: PandaSuite makes available to the User the information needed to demonstrate compliance with this section and allows audits, including inspections, by the User or an auditor it mandates. In the ordinary course, an audit takes place at most once per twelve (12) months, at the User's expense, on thirty (30) days' notice, during business hours and without disrupting the Service; PandaSuite first provides an up-to-date third-party report or certification where it holds one, and an inspection follows where that report does not answer the User's questions. These limits do not apply after a personal data breach affecting the User's data, on reasonable suspicion of non-compliance, or where a supervisory authority requires it.
Transfers: transfers outside the European Economic Area take place under the safeguards described in the Privacy Policy.

Third‑party Resources

Through pandasuite.com, Users may access third‑party resources. PandaSuite does not control and is not responsible for such content or availability. Third‑party terms govern those resources.

Acceptable Use

Users must use the Service responsibly and in compliance with all applicable laws and these Terms. PandaSuite reserves the right to investigate violations and take appropriate action, including account termination and legal proceedings.

Prohibited Activities

Users must not:

Violate Laws: Use the Service for any illegal purpose or in violation of any local, state, national, or international law, including data protection laws, export control laws, and intellectual property laws.
Infringe Rights: Violate, infringe, or misappropriate the intellectual property, privacy, publicity, or other legal rights of any third party.
Harmful Content: Upload, transmit, or distribute viruses, malware, or any other malicious code, or content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable.
Security Breaches: Attempt to probe, scan, or test the vulnerability of the Service, breach security or authentication measures, or gain unauthorized access to any system or network.
Reverse Engineering: Reverse engineer, decompile, disassemble, decipher, or otherwise attempt to derive the source code for any underlying technology or software.
Service Disruption: Interfere with or disrupt the Service, servers, or networks, including by transmitting worms, viruses, spyware, malware, or any other destructive code.
Unauthorized Resale: Resell, redistribute, sublicense, or provide access to the Service to third parties without PandaSuite's explicit written authorization.
Resource Abuse: Use the Service in a manner that excessively consumes resources or adversely impacts the performance or use of the Service by others.
False Information: Provide false, misleading, or fraudulent information in connection with your use of the Service.
Circumvention: Attempt to circumvent any content filtering techniques, usage limits, or access restrictions implemented by PandaSuite.
Malicious Applications: Create applications that contain malware, spyware, or any code designed to harm end users' devices or steal their data. Applications must not mislead users about their functionality or purpose.
Store Policy Violations: Create or publish applications that violate the policies of app distribution platforms (Apple App Store, Google Play Store, etc.), including but not limited to content guidelines, age ratings, and technical requirements.
Excessive Resource Usage: Design applications or use the Service in ways that intentionally exceed plan limitations or attempt to circumvent usage restrictions through technical means or multiple accounts.

Software License

Subject to compliance with these Terms, PandaSuite grants Users a revocable, non‑exclusive, non‑transferable and non‑sublicensable license to use the Studio, the platform software and the PandaSuite Runtime within the scope and for the purposes of the Service, for the duration of their plan. No right to the source code is granted. Updates and fixes may be released; Users may need to install them to continue using the Service. When the plan ends, the license to the Studio and the platform software ends and Users must delete their copies of that software. The Runtime embedded in an application that Users generated or exported under a plan that allows it (for example a one‑time export) remains licensed for that application as built, without any right to updates, unless the license is terminated for a breach of these Terms.

Unless otherwise specified, Users may install the software on a reasonable number of common, up‑to‑date devices, provided any stated concurrent‑use limitations are respected.

API Terms

The use of any API that PandaSuite makes available is subject to these Terms and to the technical documentation published with it. Users are responsible for the applications and third‑party services they connect to the API and for the data those services access through it; PandaSuite is not liable for damages or losses arising from that use.

Paid Products

Certain features or Products are paid. Prices, descriptions, and availability are displayed on pandasuite.com; the displayed prices apply to new orders and may change without notice. Product representations are for reference and imply no warranty as to characteristics. To purchase, Users must be registered and follow the checkout steps. Submitting an order forms a binding contract and creates a payment obligation, including taxes and applicable fees. If the Product requires User action (e.g., information), the User must cooperate.

Once an order is placed, PandaSuite sends a receipt confirming it. The characteristics of the chosen Product are described during checkout.

Prices are shown in the currency indicated at checkout and may be exclusive of VAT or other applicable taxes, which will be added where required by law. Invoices and payment confirmations are provided electronically. Accepted payment methods are displayed at checkout and may be handled by third‑party payment processors, whose terms may apply.

Payment terms: subscriptions are payable in advance, on the date of the order and on each renewal date. Any other invoice is payable within thirty (30) days of its issue, and in no case later than sixty (60) days from that date. Any sum unpaid on its due date bears, automatically and without a reminder being necessary, late‑payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus ten (10) percentage points, without being lower than three times the legal interest rate, and gives rise to a flat‑rate indemnity for recovery costs of forty euros (€40) per invoice, without prejudice to additional compensation on justification where the recovery costs actually incurred exceed that amount. No discount is granted for early payment.

Purchases via App Stores

If a Product is purchased via an app store (e.g., Apple App Store), the store’s terms and payment policies apply in addition to these Terms. The store may manage billing and refunds directly.

Failed or refused payments relieve PandaSuite from fulfilling the order; related expenses or damages may be claimed from the User. Usage rights may be retained until full payment. Coupons and trials, if any, are subject to their specific rules.

Offers and Discounts

PandaSuite may offer discounts or special promotions at its sole discretion. Repeated or recurring offers do not create any enforceable right or expectation of future availability. Time‑limited offers are based on PandaSuite's time zone (CET/CEST) unless otherwise stated.

Coupons

PandaSuite may issue discount coupons or codes subject to the following rules:

Each coupon is valid only under the conditions stated on the coupon itself.
Coupons are single‑use and must be redeemed in full — partial redemption is not permitted.
Coupons cannot be combined with other coupons, offers, or promotions unless expressly stated.
Coupons must not be reproduced, counterfeited, or sold. Any attempt to do so will void the coupon and may result in account termination.
No refund or credit will be issued for the difference between the coupon value and the purchase price.

Subscriptions

Fixed‑term subscriptions start upon payment receipt and last for the chosen term. Unless cancelled, subscriptions renew automatically for the same duration using the payment method on file. Users receive advance notice with instructions to cancel. Users may terminate at any time by clear notice or via in‑product controls; termination becomes effective at the end of the current term. Add‑ons may be purchased; their terms may differ from the main Product.

Price of a subscription: the price of a subscription in progress is fixed for its term. A change of price is a material change within the meaning of the Changes to Terms section and applies to a subscription from its next renewal.

Free Plan

PandaSuite offers a free plan that lets Users create and preview a project without subscribing to a paid plan, for as long as they wish. Its scope (features, number of active projects, usage limits) and the features reserved for paid plans, such as publishing an application, are described on the pricing page. The free plan carries no obligation to subscribe.

Changes to the free plan: PandaSuite may change the scope of the free plan. If a feature Users are using becomes paid or is withdrawn from the free plan, PandaSuite informs them beforehand and gives them a reasonable period to subscribe to a paid plan or to retrieve their content. Users may not create multiple accounts to multiply the benefits of the free plan.

Trials of paid plans: when PandaSuite offers a trial of a paid plan, its duration and conditions are stated when the trial is activated. Nothing is charged at the end of a trial unless the User subscribes to the paid plan.

Liability & Indemnity

Users shall indemnify and hold harmless PandaSuite, its managers, employees and contractors against any third‑party claim, and the resulting damages, costs and reasonable legal fees, arising from a breach of these Terms, of third‑party rights or of applicable law by the User or by anyone acting on the User's behalf or through the User's account, to the extent permitted by law. Unless otherwise required by law, Users cannot claim damages from PandaSuite, or from anyone acting on its behalf, except for damages to life, health or physical integrity, for breaches of essential contractual duties, or in case of intent or gross negligence. In particular, PandaSuite is not liable for:

Force majeure and, more generally, any event beyond PandaSuite's reasonable control (e.g., power, telecom or Internet outages, strikes, natural disasters, cyber‑attacks, failure of a third‑party provider).
Loss of business opportunities or any indirect loss (including lost revenue, profits, savings, contracts, reputation, goodwill).
Data loss or corruption not caused by intent or gross negligence.
Damage caused by malware or by unauthorised access that PandaSuite's security measures could not reasonably prevent; Users are responsible for the security of their own devices and for keeping copies of their content.

Liability Cap: PandaSuite's total liability under these Terms, regardless of the legal basis for the claim, shall not exceed the total fees paid by the User to PandaSuite during the twelve (12) months preceding the event giving rise to the claim or, if the Agreement has lasted less than twelve months, during the term of the Agreement. Unless caused by intent or gross negligence, PandaSuite is liable only for the typical and foreseeable damages at the time the Agreement was entered into. This cap does not apply to damage resulting from PandaSuite's intentional or gross fault, to damage to life, health or physical integrity, or to any liability the law does not allow to be limited. Where no fee has been paid, PandaSuite's liability is capped at one hundred euros (€100).

US Users

The following provisions apply specifically to Users located in the United States and supplement (but do not replace) the general liability provisions above.

Disclaimer of Warranties

FOR USERS IN THE UNITED STATES, PANDASUITE PROVIDES THE SERVICE WITHOUT WARRANTY OF ANY KIND, ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND USERS USE IT AT THEIR OWN RISK. TO THE FULLEST EXTENT THE LAW ALLOWS, PANDASUITE DISCLAIMS EVERY CONDITION, REPRESENTATION AND WARRANTY, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON‑INFRINGEMENT. NOTHING PANDASUITE OR ITS STAFF SAY OR WRITE, AND NOTHING OBTAINED THROUGH THE SERVICE, CREATES A WARRANTY BEYOND THESE TERMS.

In particular, PandaSuite does not promise that the Service or its content will be accurate, reliable, uninterrupted, secure, available at a given time or place, free of defects that will be corrected, or free of viruses or other harmful components, nor that it will meet Users' needs. Users download or obtain content through the Service at their own risk and bear any resulting damage to their devices or loss of data.

PandaSuite does not vouch for, and takes no responsibility for, products or services that third parties advertise or offer through the Service or on linked sites. Where a U.S. state does not allow implied warranties to be limited, the disclaimers above apply only to the extent that state's law permits.

Limitations of Liability (US)

TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PANDASUITE NOR ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS WILL BE LIABLE FOR INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, GOODWILL, USE OR DATA, OR OTHER INTANGIBLE LOSSES — ARISING FROM THE USE OF, OR THE INABILITY TO USE, THE SERVICE.

This exclusion covers, among other things, harm caused by content errors or omissions; personal injury or property damage connected with the Service; unauthorized access to PandaSuite's servers, to a User's account or to the information held on them; interrupted or discontinued transmissions; malicious code transmitted by third parties through the Service; and any use of content posted, sent or otherwise made available through the Service.

PANDASUITE'S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICE IS CAPPED AT THE HIGHER OF THE AMOUNTS THE USER PAID PANDASUITE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND ONE HUNDRED EUROS (€100). WHERE A JURISDICTION DOES NOT ALLOW INCIDENTAL OR CONSEQUENTIAL DAMAGES TO BE EXCLUDED OR LIMITED, THESE LIMITS APPLY ONLY TO THE EXTENT ITS LAW PERMITS.

Nothing in this section excludes or limits liability for death or personal injury caused by PandaSuite's negligence, or for fraud.

US Indemnification

To the extent the law allows, Users located in the United States will defend, indemnify and hold harmless PandaSuite, its managers, employees, contractors, licensors and affiliated companies from every claim, loss, liability, cost and expense — attorney's fees included — that arises from their use of the Service, a breach of these Terms, a violation of a third party's rights (including copyright, property and privacy rights), content submitted from their account, or their willful misconduct.

Australian Users

The following provisions apply specifically to Users located in Australia and supplement the general liability provisions above.

For Users in Australia, these Terms leave untouched every guarantee, condition, warranty, right and remedy that the Competition and Consumer Act 2010 (Cth) or similar State and Territory laws grant and do not allow to be excluded, restricted or modified ("Non‑Excludable Rights"). Where the law permits, PandaSuite's liability towards such Users — including for a breach of a Non‑Excludable Right — is limited, at PandaSuite's choice, to supplying the services again or paying the cost of having them supplied again.

Service Interruptions

PandaSuite is bound by an obligation of means (obligation de moyens) in providing the Service: it strives to maintain high Service availability but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, technical issues, or circumstances beyond PandaSuite's control.

Scheduled Maintenance: PandaSuite will endeavor to provide advance notice of scheduled maintenance that may significantly impact Service availability. Emergency maintenance may be performed without notice when necessary to protect the security or integrity of the Service.

Third-Party Dependencies: Service availability may be affected by third-party services, networks, or providers outside PandaSuite's control. PandaSuite is not responsible for outages or performance issues caused by such third parties.

Discontinuation: should the Service be discontinued, PandaSuite informs Users in advance and gives them a reasonable period to retrieve their content and data, in accordance with applicable law.

Changes to Terms

PandaSuite reserves the right to modify these Terms at any time. Changes will be effective upon posting to pandasuite.com or notification to Users. Material changes will be notified via email or prominent notice within the Service at least 30 days before taking effect, unless immediate changes are required for legal or security reasons.

By continuing to use the Service after changes become effective, Users accept the modified Terms. A material change that is adverse to a User with a paid subscription in progress applies to that subscription from its next renewal, unless the law or the security of the Service requires it sooner. Users who do not accept a change terminate the Agreement before it takes effect for them, through their account settings or by writing to [email protected]; the termination takes effect at the end of the current term and the Service remains available until then. Previous versions of these Terms are available on request at [email protected].

This version, dated 22 September 2026, replaces the previous version of these Terms. It applies to accounts created on or after that date. For accounts that existed before that date, it takes effect on 22 October 2026, after notice by email, subject to the rule above for paid subscriptions in progress and unless the User terminates before then as set out above; the previous version governs the relationship until that date.

Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy and any other referenced documents, constitute the entire agreement between PandaSuite and the User regarding the use of the Service. They supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be modified, then severed. The remaining provisions shall continue in full force and effect.

Waiver

If PandaSuite does not enforce a right or a provision of these Terms at a given time, it does not give that right or provision up, and a waiver granted once does not extend to a later breach or to any other provision.

Assignment

Users may not assign or transfer these Terms or any rights or obligations hereunder without PandaSuite's prior written consent. Users consent in advance, within the meaning of Article 1216 of the French Civil Code, to the assignment of the Agreement by PandaSuite to an affiliate or to a successor of all or part of its business, including in connection with a merger, acquisition, or sale of assets. The assignment takes effect against Users when notified to them under the Notices section and releases PandaSuite for the future within the meaning of Article 1216-1 of the same Code.

Force Majeure

Neither party is liable for any failure or delay in performance due to an event of force majeure. The parties agree to treat as such, beyond the events the law recognises, any circumstance beyond the reasonable control of the party concerned, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, shortages of transportation, facilities, fuel, energy, labor or materials, power, telecom or Internet outages, cyber‑attacks, and the failure of a third‑party provider. Performance of the obligations affected is suspended for the duration of the event. This clause does not apply to an obligation to pay a sum of money.

Governing Law & Courts

These Terms are governed by French law. EXPRESSLY AND AS AN ESSENTIAL CONDITION OF THE AGREEMENT, ANY DISPUTE RELATING TO THE FORMATION, PERFORMANCE, INTERPRETATION OR TERMINATION OF THESE TERMS IS SUBMITTED TO THE EXCLUSIVE JURISDICTION OF THE COMPETENT COURTS OF PARIS, FRANCE, INCLUDING IN THE EVENT OF MULTIPLE DEFENDANTS, INTERIM PROCEEDINGS OR THIRD‑PARTY CLAIMS. This clause applies to the extent the law allows it to be relied on against the User; otherwise the ordinary rules of jurisdiction apply.

Dispute Resolution

Users may first seek an amicable resolution by writing to [email protected]. A complaint should describe the issue briefly and, where relevant, identify the order, purchase or account concerned. PandaSuite answers complaints as quickly as it can and at the latest within 21 days of receiving them. As the Service is offered to professionals only, the provisions of the French Consumer Code on consumer mediation and the European online dispute resolution platform do not apply.

App Store Terms

When accessing PandaSuite through app stores (Apple App Store, Google Play Store, etc.), additional terms from those platforms apply alongside these Terms. The app store provider may enforce these Terms as a third-party beneficiary.

App Store Specific Terms: Users acknowledge that these Terms are between the User and PandaSuite only, not with the app store provider. PandaSuite is solely responsible for the Service and its content. The app store provider has no obligation to provide maintenance or support services. Users must comply with all applicable third-party terms when using the Service.

Export Control

The Service is subject to the restrictive measures of the European Union and to Regulation (EU) 2021/821 on dual-use items, and may be subject to the export control rules of the United States and other jurisdictions. Users represent that they are not, and are not controlled by or acting on behalf of, a person or entity targeted by those measures, and that they are not established in, or acting from, a territory subject to a comprehensive embargo. PandaSuite may suspend or terminate the Agreement immediately, without compensation, where necessary to comply with those measures, and may ask Users for the information needed to check compliance.

Users agree to comply with all applicable export and import laws and regulations. Users will not directly or indirectly export, re-export, or transfer the Service to prohibited countries or individuals without obtaining required government authorizations. This includes restrictions on nuclear, chemical, or biological weapons end uses.

Notices

Notices shall be sent to the contact details indicated in these Terms or as otherwise communicated by PandaSuite. PandaSuite may contact Users via email to their account address or by displaying notices within the Service.

Language

These Terms are provided in English and French. In case of discrepancy between translations, the French version shall prevail.

Definitions

For the purposes of these Terms, the following definitions apply:

"Agreement" means the contract formed between PandaSuite and a User under these Terms.
"Business User" means companies, organizations, and individuals acting in a professional capacity.
"Content" means any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials.
"PandaSuite" or "We" refers to PANDA SUITE, a French société à responsabilité limitée (SARL) providing the Service, located at 40 rue Alexandre Dumas, 75011 Paris, France; registry details are in the Legal Notice.
"pandasuite.com" or "Platform" refers to this website, including its subdomains, mobile applications, APIs, and any other means through which PandaSuite makes its Service available.
"Product" means any good or service available for purchase through the Service, including subscriptions, digital products, and additional features.
"Project Content" means the design, content, data and structure of the applications and experiences a User creates with the Service, including the User Content used in them.
"PandaSuite Runtime" or "Runtime" means the engine, players, viewers, components, templates, libraries and other pre‑existing PandaSuite materials embedded in applications built with the Service, with their updates and documentation.
"Service" means the no-code platform and related services provided by PandaSuite through pandasuite.com, enabling Users to create interactive applications and digital content.
"Terms" means these Terms and Conditions, including any future amendments or updates.
"User" or "You" means the natural person or legal entity that uses pandasuite.com or the Service.
"User Content" means any Content that Users submit, upload, or otherwise make available through the Service.
"European" or "Europe" refers to a User who is located in the European Union, whatever their nationality.
